Welcome to Axceed IT. These Terms of Service (“Terms”) govern your use of our website and our service. By accessing our site or engaging our services, you agree to be bound by these Terms.

1. Scope of Services
Axceed IT Solutions provides IT consultancy, strategic advisory, project delivery, system implementation, AI solutions, automation services, and managed technology solutions. Services may include business technology consulting, cloud migration, cybersecurity advisory, infrastructure deployment, software implementation, artificial intelligence integration, workflow automation, data analytics, and other technology-related project services.
The specific scope of work, timelines, deliverables, and project responsibilities for each engagement will be outlined in a separate Service Level Agreement (SLA), Statement of Work (SOW), proposal, or quotation approved by the client.
2. Professional Advice Disclaimer
Our services may include advisory, implementation, automation, and AI-related components. While we strive to provide accurate, up-to-date technical guidance and deliver projects according to agreed specifications, Axceed IT Solutions does not guarantee specific business, operational, financial, or AI-generated outcomes.
Clients remain responsible for reviewing, validating, and approving outputs generated from AI systems, automation workflows, analytics models, or software implementations before business use or deployment.
3. Fees and Payment
Consultation & Advisory Services
Recurring or subscription-based advisory services, including Virtual CIO service or managed consultancy plans, are billed in advance unless otherwise agreed.
Project Delivery & Implementation
Project-based services may require an upfront deposit of 50% prior to commencement unless otherwise agreed in writing. Remaining balances shall follow the payment milestones or terms specified in the quotation, proposal, or invoice.
Late Payments
We reserve the right to suspend ongoing services, project work, technical support, or system access if accounts remain overdue by more than 14 days.
4. Limitation of Liability
To the maximum extent permitted by the laws of Malaysia, Axceed IT Solutions shall not be liable for any indirect, incidental, or consequential damages, including but not limited to:
- Loss of profits, business opportunities, or revenue.
- Data loss, corruption, or system downtime.
- Delays or failures caused by third-party vendors or providers (e.g., Microsoft, Google, AWS).
- Cybersecurity incidents occurring despite recommended or implemented security controls.
- Business disruptions resulting from client-side configuration changes, misuse, or delayed approvals.
5. Client Responsibilities
To ensure successful consultancy and project delivery, clients agree to provide:
- Timely access to required systems, personnel, accounts, and relevant documentation.
- Accurate and complete information necessary for service delivery.
- Timely approvals, feedback, and project decisions.
- Compliance with software licensing requirements, regulatory obligations, and applicable laws.
6. Confidentiality & Data Protection
We value your trust. Axceed IT Solutions agrees to maintain confidentiality of all client proprietary and business information. Personal data collected will be handled in accordance with our Privacy Policy and the Malaysian Personal Data Protection Act (PDPA) 2010.
7. Termination
Either party may terminate a service agreement with 30 days’ written notice unless otherwise specified in an active contract or project agreement.
Upon termination, the client remains responsible for all fees, completed milestones, work performed, and expenses incurred up to the effective termination date.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
